This Terms of Service ("Agreement") governs your access to and use of InventGenie's software-as-a-service (SaaS) platform, related services, and communications. By accessing or using our services, you agree to be bound by this Agreement.

Service Offerings

InventGenie SaaS Platform

InventGenie provides a cloud-based platform designed to assist businesses in managing innovation processes, intellectual property, and R&D initiatives. Features include project tracking, documentation management, compliance tools, and analytics dashboards.

Email and Communication Services

Our platform includes integrated email services for notifications, updates, and essential communications related to your projects and account. These communications are integral to the functionality of our services.

Consulting and Professional Services

InventGenie offers optional consulting services, including strategy development, compliance assistance, and innovation funding guidance. These services are subject to separate agreements and fees.

Customer Responsibilities

Customers are responsible for ensuring that their use of the services complies with applicable laws and regulations. Accurate and up-to-date information must be provided, and any unauthorized use must be reported promptly.

Geographic Availability

Our services are primarily intended for use by businesses operating within Canada and the United States. Access from other jurisdictions is subject to compliance with local laws.

Service Modifications

InventGenie reserves the right to modify, suspend, or discontinue any aspect of the services at any time, with or without notice, to address maintenance, legal, or security concerns.

User Accounts

Account Creation and Access

To access our services, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.

Security Responsibilities

You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized use or security breach.

Usage Limitations

You may not use the services for any unlawful purpose or in a manner that violates this Agreement. Prohibited activities include, but are not limited to, reselling the services, reverse engineering, or unauthorized data access.

Data Ownership and Intellectual Property

Customer Data

You retain ownership of all data you submit to InventGenie. By using our services, you grant us a license to use your data solely for the purpose of providing and improving our services.

Intellectual Property

All intellectual property rights in the services, including software, trademarks, and content, are owned by InventGenie or its licensors. Unauthorized use is prohibited.

Privacy and Compliance

InventGenie is committed to protecting your privacy. We comply with applicable privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) in Canada. For more information, please refer to our Privacy Policy.

Email Services and Communication

Use of Email Services

We may send you emails related to your account, including service updates, billing information, and compliance reminders. These communications are essential to the operation of our services.

Customer Consent

By using our services, you consent to receive electronic communications from us. You may manage your communication preferences through your account settings, but some service-related messages are required and cannot be opted out of.

Fees and Payment

Subscription Fees

Use of certain InventGenie services may require payment of subscription fees. All fees are clearly stated on our pricing page and are subject to change with notice. Unless otherwise specified, all payments are due monthly in advance.

Billing and Renewals

Subscriptions renew automatically unless canceled before the renewal date. You authorize us to charge your selected payment method for recurring fees.

Refund Policy

InventGenie does not offer refunds for partial months or unused services. In the event of a service disruption caused by us, we may offer credits at our sole discretion.

Termination

Termination by Customer

You may cancel your account at any time through your dashboard. Upon cancellation, you will retain access to the services until the end of your billing cycle unless otherwise specified.

Termination by InventGenie

We reserve the right to suspend or terminate your account if you breach these Terms, fail to pay fees, or engage in unlawful or abusive behavior. In such cases, you may lose access to your data and services.

Effect of Termination

Upon termination, your access to the platform and associated data will be disabled. We recommend exporting your data prior to cancellation. We may retain backup copies of data for audit and legal compliance purposes.

Support and Maintenance

InventGenie provides email and in-app support for users with active subscriptions. Our team aims to respond to support requests within 1–2 business days. We also perform regular maintenance, which may occasionally result in temporary service interruptions.

Service Level Commitments

We strive to maintain 99.9% uptime for our SaaS platform, excluding planned maintenance or factors beyond our control (e.g., internet outages, natural disasters). In cases of unplanned downtime, we will post updates on our status page and resolve issues as quickly as possible.

Third-Party Integrations

Our platform may integrate with third-party applications (e.g., Google Drive, Slack). Use of such services is subject to their respective terms. InventGenie is not responsible for issues or data loss arising from third-party services.

Confidentiality

Both parties agree to maintain the confidentiality of proprietary information exchanged during the use of our services. This includes business processes, strategies, and technical data, unless legally required to disclose.

Data Processing and Transfers

Your data may be processed in countries outside of your own, including the United States and Canada. We ensure such transfers are lawful and comply with applicable data protection regulations.

Limitation of Liability

To the maximum extent permitted by law, InventGenie shall not be liable for indirect, incidental, or consequential damages arising from the use or inability to use the services, including loss of data or profits.

Changes to These Terms

We may update these Terms from time to time. Changes will be communicated via email or through the platform. Continued use of our services after such updates constitutes acceptance of the revised terms.

Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to its conflict of laws principles. Any disputes shall be resolved in the courts of Ontario.
